These documents are legal-information tools only. Consult a licensed Texas attorney before signing any legal document.

1. The Service

MaxWills is an AI-assisted will and document preparation service operated by Max AI, Inc., a software company — not a law firm. We help Texas residents assemble draft wills and ancillary documents based on information you provide. All documents generated are DRAFT documents for wet-ink execution only.

2. No Attorney-Client Relationship

Nothing in this service creates an attorney-client relationship. MaxWills is not a law firm. No attorney-client privilege attaches to your use of this service. Stephen T. Bowling, J.D., is a licensed Texas attorney and founder of Max AI, Inc.; he acts in a supervisory capacity over document preparation quality, not as your personal attorney unless you separately retain him or Texas Defense Team.

3. Legal Information, Not Legal Advice

Consistent with Texas Disciplinary Rule of Professional Conduct 5.05, MaxWills provides legal information — general statements of what Texas law requires — not legal advice tailored to your individual situation. Only a licensed Texas attorney can advise you on the right choice for your situation.

4. Texas Will Execution — Wet-Ink Signatures Required

Electronic Signatures Are NOT Valid for Texas Wills. Under Tex. Est. Code § 251.051 and the Texas UETA (Tex. Bus. & Com. Code § 322.003(b)(1)), wills are excluded from electronic signature validity. Every document this service generates is a DRAFT. You must print it, sign it in wet ink before two witnesses, and have a notary acknowledge each party separately. MaxSign is never used for will execution.

5. AI-Assisted Document Generation

MaxWills uses Anthropic Claude AI models to draft document language based on your interview answers. Statutory citations are drawn from a verified Texas Estates Code map; AI generates surrounding language only. Your information is transmitted to Anthropic for processing under their API Data Processing Agreement. We do not use your data to train AI models. 6. Pricing and Refunds

Annual Vault subscription ($79/year): Auto-renews yearly. You will receive a reminder at least 7 days before renewal. Cancel anytime in account settings. No refunds for the current annual period after renewal, except as required by law.

One-time will packages: All sales are final. Satisfaction guarantee: contact [email protected] within 14 days if your document does not conform to your answers; we will correct it or issue a credit at our discretion.

Attorney Review fees: Non-refundable once review begins. Fees are held in trust (IOLTA) until earned. This fee does not create a full attorney-client relationship beyond document review.

9. Disclaimers and Limitation of Liability

MaxWills is provided "as is." We make no warranty that documents are correct, complete, or appropriate for your situation. Max AI, Inc.'s total liability for any claim shall not exceed amounts you paid us in the six months preceding the claim. We are not liable for indirect or consequential damages.

10. Attorney Document Custody & Availability Retainer Tier (Coming Soon)

MaxWills will offer a Custodial tier ($249/yr) providing physical attorney custody of your original executed will and estate documents by Texas Defense Team, PLLC ("TDT"). This tier is a legal service provided by TDT — distinct from Max AI's software and Digital Vault services. The following terms govern this tier when it becomes available.

Retainer Agreement — Texas Ethics Opinion 611:

Document Custody & Attorney Availability Retainer ($249/yr)

The annual fee under this agreement is a true retainer as recognized by Texas Ethics Opinion 611. It is not a payment for the performance of any specific legal service, and no legal services — advice, drafting, review, or representation — are included or promised. The fee is paid solely to secure: (a) the Firm's maintenance of secure physical storage of your original executed will and designated estate documents; and (b) the availability of a licensed Texas attorney, on call, to retrieve, produce, and deliver your original documents — to you during your lifetime upon verified request, or to your designated representatives or a court upon verified proof of death — whenever the need arises, without scheduling, hourly charges, or retrieval fees.

Because this fee compensates the Firm for standing availability and reserved secure capacity rather than for services to be performed, it is earned in full upon receipt and is non-refundable, provided that if the Firm terminates custody before the end of a paid annual term, the Firm will refund the unused pro-rata portion and deliver your documents per your instruction.

This agreement creates a limited-scope engagement for document custody and availability only; it does not create any ongoing representation, any duty to monitor your legal affairs, or any obligation to update your estate plan.

You are advised in writing that you may request return of your documents at any time at no charge.

Affirmative acknowledgment required. At signup for this tier, you will be presented with the full retainer agreement text above and must affirmatively check a box confirming that you have read, understand, and agree to its terms. Your acknowledgment is logged with a timestamp and forms part of the written fee agreement required under TDRPC 1.04.

Attorney safekeeping duties apply. Once TDT takes physical custody of your original documents, TDT's duties under TDRPC 1.14 (safekeeping of client property) govern the relationship. TDT may not dispose of, encumber, or produce your documents except as directed by you or as required by law.

No Texas sales tax. The $249/yr Custodial fee is a legal services retainer; Texas sales tax does not apply to legal services fees.

Payment routing. Custodial tier fees are charged through Texas Defense Team, PLLC's Stripe account and go directly to the firm. They are not processed by Max AI, Inc. and are not subject to Max AI's refund or billing terms.

Digital Vault independence. The $99/yr Max AI Digital Vault is a separate software product. Purchasing or canceling one does not affect the other. Physical document custody (Custodial tier) and digital encrypted storage (Digital Vault) serve complementary but independent purposes.

Governed by Texas law. Disputes resolved in Travis County, Texas.
